GESSEL as patron of SEG’s Third Congress of Public Company Lawyers

Leszek Koziorowski and Ewa Szlachetka, partners in GESSEL, will take part in the Third Congress of Public Company Lawyers to be held on 21-22 February 2012 in Ossa by Warsaw. The event is organised by the Polish Association of Listed Companies (Polish abbreviation SEG), with GESSEL as patron.

The first day of the congress will feature a moot – a general meeting of the Common Company SA, chaired for the second year in a row by Leszek Koziorowski. This time, “shareholders” attending the general meeting will grapple with an impending hostile take-over, with all the attendant complications. The exercise will provide an opportunity to consider the practical aspects of voting at general meetings, including group ballots, voting rights, and general meetings held via electronic means.

On its second day, the congress will proceed to thematic workshops addressing sundry issues of relevance to publicly listed companies. In this context, Ewa Szlachetka will lead a practical exercise on “Information duties in practice – safeguarding the contradictory interests of market participants”. The exercise will focus on the principle of equal access to information in theory and in practice, passing on information within a corporate group, disclosures to shareholders, provision of information for due diligence purposes, disclosure of confidential information in negotiations, examples of discharging information duties (major contracts, confidential information), and current statements and other forms of communicating with the market.

The congress is open to representatives of Polish Association of Listed Companies members, such as directors, counsel, or investor relations and supervision officers.
